General conditions of use

These General Terms and Conditions (the “General Conditions”) govern the relationship between NiRa, a simplified joint stock company, registered with the Nanterre Trade and Companies Register under number 981 336 498, whose head office is located at 11 Rue Collin, 92800 Puteaux, and any registered person (the “Customer”) wishing to access the lebot.in database constituted by NiRA, accessible in CSV format or JSON only. NiRA and the Customer are hereinafter referred to collectively as the “Parties” and individually as a “Party”.

1. Definitions

1.1 Database : Refers to the database created by NiRA, containing BtoB information on French companies that sell online, updated regularly, accessible in CSV or JSON format.

1.2 Credits : Basic unit allowing access to the Database. The number of credits required depends on the quantity of data required by the Customer.

1.3 Order form : Refers to the order for a subscription (monthly or quarterly) or additional credits submitted by the Customer and accepted by NiRA.

1.4 Customer Data : Data relating to the Client's prospects and customers obtained and processed via NiRA's services.

1.5 Force Majeure : An external and unforeseeable event that makes the performance of contractual obligations impossible (e.g. war, natural disaster, epidemic).

1.6 Authorized user : Any person authorized by the Customer to access the data provided by NiRA.

2. Purpose — How NiRA works

The purpose of the General Conditions is to define the methods by which NirA provides the Customer with access to a BtoB Database. The Customer can access the data by subscribing to a subscription or by buying credits, which allow data to be downloaded in CSV or JSON format via secure channels.

3. Access and Use of NiRA

3.1 Initialization : To access NiRA data, the Customer must buy credits or subscribe to a subscription. When registering, the Customer must provide accurate information and accept these General Terms and Conditions.

3.2 Authorized Users : If the Customer is a legal entity, it may designate Authorized Users. The Customer is responsible for the correct use of the data by these users.

3.3 security : Data is accessed by transmitting files in CSV or JSON format. The files will be sent to Authorized Users designated by the customer.

4. License of Use

4.1 Right of use : NiRA grants the Customer a right to use the Database, only for its internal needs. This right is subject to the purchase of credits or the purchase of a subscription.

4.2 Limitations : The Customer undertakes not to redistribute the data without the express written permission of NiRa.

5. Financial conditions

5.1 Credits and Subscriptions : The Customer can take out a subscription or buy credits to access the Database. The cost and terms of payment are indicated in the Order Form. Credits not consumed at the end of the subscription are lost.

5.2 Payment methods : Payments must be made in accordance with the Order Form. In case of non-payment, NiRA reserves the right to suspend access to the services.

6. NiRA commitments

NiRA is committed to providing accurate data and ensuring access to data subject to compliance with normal conditions of use. Unless expressly stipulated otherwise, NiRA's obligations under the General Terms and Conditions are obligations of best efforts.

7. Customer Commitments

The Customer undertakes to use NiRA's services in accordance with these General Terms and Conditions.

8. Intellectual property

The databases and files provided by NiRA become the property of the Customer upon delivery for internal use. The Customer undertakes not to resell or transmit this same information externally without the express agreement of NiRA.

9. Personal Data Protection

NiRA processes personal data on behalf of the Customer in accordance with the laws in force, in particular the RGPD. The Customer is responsible for the data that it collects and processes.

10. termination

NiRA and the Customer may terminate the contract in the event of a serious breach of obligations. In the event of a subscription cancellation, the Customer undertakes to notify NiRa in writing 3 months before the end of the expiry date of the contract. In the event that this deadline is not respected, the subscription will be automatically renewed.

11. Guarantee

NiRA will make every effort to ensure that the data provided is accurate. However, NiRA cannot guarantee that the Database is free of errors or inaccuracies. The Customer acknowledges that the use of the data is at its own risk.

12. Limitation of Liability

NiRA is only liable for direct and foreseeable damages resulting from a breach of its obligations. NiRA will not be held responsible for lost profits, turnover, or indirect damages.

13. Suspension of Access

NiRA reserves the right to suspend data delivery in the event of non-payment, risk to the security of services, or scheduled maintenance. In the event of suspension, NiRA will endeavour to limit interruptions in data access.

14. Confidentiality

The Parties undertake to maintain the confidentiality of the information exchanged under these General Terms and Conditions. This confidentiality obligation remains in force for five (5) years after the end of the contract.

15. Changes to the General Terms and Conditions

NiRA reserves the right to modify these General Terms and Conditions at any time. The changes will be communicated to the Customer with a notice of fifteen (15) days. If the Customer continues to use the services after the entry into force of the new General Conditions, he will be deemed to have accepted them.

16. Fight against Corruption and Conflicts of Interest

The Parties undertake to respect the laws relating to the fight against corruption. They also undertake to inform the other Party of any potential conflict of interest that could influence the performance of contractual obligations.

17. Applicable Law and Competent Jurisdiction

These General Terms and Conditions are governed by French law. Any dispute relating to the interpretation or execution of the contract will be subject to the exclusive jurisdiction of the courts of Nanterre.
